Terms of Service

These Terms of Service ("Terms") govern your use of the physislabs.ai website and client portal operated by Physis ("we", "us", "our"). Individual engagements are additionally governed by the scope and price agreed in writing for that engagement; where the two conflict, the signed engagement terms win.

1. Acceptance of Terms

By creating an account or using the portal, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the service.

2. Description of Service

Physis is an AI implementation studio. We design and build operational automation — reconciliation, reporting, monitoring and similar work — inside our clients' own environments. The service consists of:

  • Calls: Paid strategy and advisory sessions, delivered live.
  • Email Advisory: A monthly asynchronous advisory arrangement. Advisory only — it does not include implementation.
  • Full Integration: A scoped build engagement, delivered into infrastructure and accounts you control.
  • The client portal: Where you open a request, discuss it with us, exchange documents, and pay for the engagement.

Nothing on this website is an offer of a fixed scope. Scope and price for a build are agreed in writing after a strategy call.

3. User Accounts

You must provide accurate information when creating your account. You are responsible for maintaining the security of your account credentials. You must notify us immediately if you become aware of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Billing

All engagements are billed through Stripe. You are never charged for opening a request — payment happens only after scope and price are agreed.

  • Calls are a one-time charge per session, and are credited toward a subsequent build engagement.
  • Email Advisory is a monthly recurring charge. You may cancel at any time; cancellation takes effect at the end of the paid month.
  • Full Integration is quoted per engagement and invoiced against the agreed scope. A number is never quoted before scope is agreed.
  • Prices published on this website may change at any time. A price agreed in writing for your engagement does not change once agreed.
  • Refunds are handled case by case. Contact us at the address below.

5. Acceptable Use

You agree not to:

  • Upload material you do not have the right to share with us, or that you are contractually barred from disclosing.
  • Upload malware, or files intended to compromise our systems or another client's.
  • Attempt to access another client's requests, messages, or documents.
  • Abuse rate limits or attempt to overload the portal.
  • Use the portal to request work that is illegal, or that is intended to deceive or harm others.

6. AI-Generated Content

The systems Physis builds use artificial intelligence, which is probabilistic and can be wrong. This is a property of the technology, not a defect we can engineer away, and it is the single most important thing to understand before deploying one of these systems against real work. You acknowledge that:

  • AI-driven automation can produce incorrect output, and must be supervised in proportion to what it is allowed to affect.
  • We will tell you which steps in a delivered system act autonomously and which require a human decision. Removing those checkpoints after handover is your decision and your risk.
  • Advisory from Physis is technical advice. It is not legal, accounting, tax, or financial advice.
  • We do not guarantee a specific financial outcome, time saving, or business result from any engagement.

7. Intellectual Property

You own what we build for you. On completion of a Full Integration engagement, the system delivered to you — its source, its configuration and its documentation — is yours outright. It runs on your infrastructure and your accounts, it does not call back to Physis, and it does not stop working if our relationship ends. We claim no licence over it and charge nothing to keep it running.

You retain all rights in the data and documents you give us. You grant us a limited licence to use them only to scope and deliver your engagement.

Physis retains ownership of the physislabs.ai website, the client portal, our branding, and the general methods, know-how and reusable internal tooling we bring to an engagement. Nothing in this section transfers those, and nothing in it prevents us from doing similar work for other clients.

8. Limitation of Liability

To the maximum extent permitted by law, Physis shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability shall not exceed the amount you paid for the service in the twelve months preceding the claim. The service is provided "as is" without warranties of any kind, express or implied.

9. Termination

You may close your portal account at any time using the "Delete Account" option in Settings, and we may suspend portal access if you breach these Terms. Closing your account does not by itself cancel an in-flight engagement or waive fees already due for work delivered. It also does not affect anything already built for you: that lives in your own environment and we have no ability to withdraw it.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the portal after changes constitutes acceptance of the updated Terms.
